NEWPORT – Three former board members of Pangaea Logistics Solutions Ltd. are threatening to become activist investors, claiming they were wrongfully dismissed from the panel. In the company’s filling with U.S. Securities and Exchange Commission on June 7, Pangaea said Eric S. Rosenfeld, David D. Sgro and Anthony Laura were removed from the board of directors. Pangaea, a global maritime logistics and transportation company based in Newport, said it reduced its board of directors from 10 to seven members to make the company better positioned to make timely decisions in the best interests of shareholders, according to the filing. It now expects the panel to be more efficient and able to engage in more effective discussion and deliberation, given the company’s size and strategic priorities, the company said. “We thank our former directors for their many years of service on the board and wish them well in their future endeavors,” the company stated in the filing. However, the three men believe they were involuntarily removed to try to “silence dissent” on the board, according to report by TradeWinds. Rosenfeld, Sgro and Laura own a combined 2.5% of the company’s shares and were among the longest-serving members of the board, according to the report. The three former board members are now threatening to become activist investors, according to a statement published by Rosenfeld’s company, Crescendo Partners. The statement said the three intend to communicate with third parties, such as investment banks to seek transactions to “maximize shareholder value,” which would include seeking a sale of the company. In their statement, the three described their removal as a troubling development, claiming it didn’t involve consultation with the broader shareholder group. The men are also discussing taking legal action, according to the report. Pangaea CEO and President Mads Boye Petersen reiterated the company’s stance on cutting the size of the board of directors. “The board feels that seven is the right number in terms of directors for a company of this size,” he told TradeWinds. “We appreciate the time and effort that they devoted to the company.”
