FleetBoston Financial completes shelf registration

FleetBoston Financial announced today that the Securities and Exchange Commission has declared effective FleetBoston’s shelf registration statement allowing for the issuance of up to $4.1 billion of senior or subordinated debt securities, common and preferred stock, trust preferred securities and other securities. This amount reflects an increase of $3 billion from the original filing of the registration statement on Nov. 7.

The securities may be offered from time to time directly by the company and its affiliated trusts or through underwriters at amounts, prices, interest rates and other terms to be determined at the time of offering. Net proceeds of the proposed sale of the securities will be used for general corporate purposes, principally to extend credit to, or fund investments in, the company’s subsidiaries.
