Raytheon would merge shares into new stock

LEXINGTON — Raytheon Co. announced that its board of directors had approved the
merger of two classes of its shares into a single class of common stock. The company
said it expected the merger to increase the stocks’ liquidity. The consolidation,
already approved by the IRS, must still be approved by shareholders. Under the
present classifications, Class A stockholders hold 80.1 percent of the votes for
the election or removal of members of the board of directors, while Class B stockholders
have the rest of the votes.
